These Terms of Service ("Terms") form a binding agreement between you ("user," "you") and SpaceCloud ("SpaceCloud," "we," "us," or "our") governing your access to and use of the SpaceCloud website, storage service, and any related tools (collectively, the "Service").
By accessing or using the Service, uploading a file, creating an account, or clicking "I agree" where presented, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you must not use the Service.
You must be at least 13 years old, or the minimum age required in your country to consent to use of online services without parental approval, to use the Service. By using the Service, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.
If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
SpaceCloud provides file hosting and sharing infrastructure that allows users to upload, store, and share files through generated links. Key characteristics of the Service include:
SpaceCloud reserves the right to modify, suspend, or discontinue any part of the Service, temporarily or permanently, with or without notice.
Certain features of the Service, including upload management and extended retention options, may require you to register an account. You agree to:

You agree to use the Service only for lawful purposes. Without limiting the generality of the foregoing, you agree not to:
We reserve the right to investigate suspected violations and to remove content or suspend accounts pending investigation.
You may not upload, store, or share content that:
SpaceCloud reserves the right to remove any file, without prior notice, that it believes in good faith violates this section or applicable law.
SpaceCloud's Free plan does not impose a total storage quota; however, each file is subject to a maximum size limit as stated in Section 3.
Files that are not accessed (downloaded or viewed via their share link) for a continuous period of twelve (12) months will be automatically and permanently deleted from our storage systems. Accessing a file at any point resets this retention period.
Where an email address is associated with a file or account, SpaceCloud will make reasonable efforts to send a notification between seven (7) and fourteen (14) days prior to scheduled deletion. However, SpaceCloud does not guarantee delivery of this notice and is not liable for files deleted due to a failed or missed notification.
The Service is not intended to serve as a long-term archival or backup solution. SpaceCloud strongly recommends maintaining independent backups of any content you consider important.
You retain all ownership rights to the files you upload to the Service. By uploading content, you grant SpaceCloud a limited, non-exclusive, royalty-free license to store, transmit, and display that content solely for the purpose of operating and providing the Service to you and anyone you share a link with.
The SpaceCloud name, logo, and website design are the property of SpaceCloud and may not be used without prior written permission.
The Service may display advertisements served by third-party advertising networks on download or file-access pages. SpaceCloud does not control the content of third-party advertisements and is not responsible for any products, services, or claims made by advertisers.
The Service is built on third-party cloud infrastructure providers. While we select reputable providers, SpaceCloud does not guarantee uninterrupted availability of the Service and is not liable for outages caused by third-party infrastructure failures.
SpaceCloud may offer optional paid plans ("Pro" or similar) that provide additional features, such as ad-free downloads or extended retention periods. Where payment processing is handled by a third-party payment provider, your transaction will also be subject to that provider's terms.
Fees are non-refundable except where required by applicable law or explicitly stated at the time of purchase. SpaceCloud reserves the right to change pricing for paid plans with reasonable prior notice to existing subscribers.
SpaceCloud may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately, and SpaceCloud may delete any files associated with your account, subject to applicable law.
You may stop using the Service and, where applicable, request deletion of your account at any time by contacting us as described in Section 17.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
SpaceCloud does not warrant that the Service will be uninterrupted, secure, or error-free, or that any file will remain available indefinitely, including in cases of technical failure, force majeure, or the retention policy described in Section 7.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPACECLOUD AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
IN NO EVENT SHALL SPACECLOUD'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SPACECLOUD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY US DOLLARS (USD 50).
You agree to indemnify and hold harmless SpaceCloud and its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
We may update these Terms from time to time. If we make material changes, we will make reasonable efforts to notify users, such as by posting a notice on the Service or updating the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SpaceCloud's operating entity is established, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the courts of that jurisdiction, unless otherwise required by applicable local consumer protection law.
